WARSAW, N.Y. – Financial Institutions Inc. (NASDAQ: FISI), the holding company for Five Star Bank, closed a profitable 2025, delivering consistent organic growth and setting ambitious targets for the coming year. The company reported full-year net income available to common shareholders of $73.4 million, or $3.61 per diluted share, driven by strong net interest income and disciplined execution.

In a conference call with analysts, CEO Marty Birmingham highlighted a return on average assets of 1.20% and a return on average equity of 12.38% for the year, both metrics exceeding the company's initial guidance. "The fourth quarter rounded out what was a very strong year," Birmingham stated, attributing the performance to the bank's strategic focus on its core Upstate New York markets.

A significant tailwind for the region, and consequently for FISI's future loan growth, is the recent groundbreaking of Micron Technology's monumental $100 billion semiconductor investment in Syracuse. While the full economic impact will unfold over years, Birmingham expressed optimism about near-term opportunities in supporting related infrastructure, housing, and healthcare expansion. "We were excited to see the shovel in the ground," he remarked.

The bank demonstrated solid loan growth, with total loans increasing 4% year-over-year to $4.66 billion, primarily fueled by commercial lending in markets like Buffalo and Rochester. On the funding side, period-end deposits stood at $5.21 billion. CFO Jack Lance outlined the bank's strategy to grow lower-cost core deposits in a competitive landscape, while also noting the successful wind-down of its Banking-as-a-Service (BaaS) line of business.

Looking ahead to 2026, management provided guidance targeting a return on average assets of at least 1.22%, loan growth of approximately 5%, and continued net interest margin expansion. The bank also remains active in capital management, repurchasing 1.7% of its outstanding shares in Q4 2025. "Having simplified our business and strengthened our balance sheet over the last twenty-four months, we are intently focused on driving sustainable growth," Birmingham concluded.

Analyst and Investor Perspectives

Sarah Chen, Portfolio Manager at Upstate Capital Advisors: "FISI's results underscore the resilience of a well-run community bank in a dynamic rate environment. Their focused footprint in Upstate New York, now turbocharged by the Micron project, provides a unique growth narrative that many regional peers lack. The guidance for 2026 appears both achievable and conservative."

Michael Rossi, Independent Banking Analyst: "The numbers are solid, no doubt. However, I'm watching the deposit trends closely. The year-over-year growth is modest, and in this fight for liquidity, I question if their guidance for low single-digit deposit growth is aggressive enough to fully fund their loan targets without pressuring margins."

Janet Kowalski, Retail Investor & Former Bank Employee: "As a local, I've banked with them for years. It's refreshing to see a bank actually investing in the community it serves, not just chasing short-term profits. The Micron deal is a game-changer for this entire region, and FISI is positioned right at the center of it. This is what community banking should be about."

David Feld, Editor at 'The Skeptical Investor' Blog: "Let's not get carried away. A 1.2% ROA is decent but not exceptional. The 'transformative' Micron story is being used as a shiny object to distract from the fact that consumer indirect loans are shrinking and expense guidance is creeping up. This is a steady, slow-growth bank trading on a hopeful narrative, not a high-performance engine."
