QuantumScape Co-Founder and CTO Timothy Holme Sells Trust's Entire Stake for $76,465

QuantumScape Corp. (Nasdaq: QS) co-founder and Chief Technology Officer Timothy Holme has sold the entire Class A stake held through a family trust, a move disclosed as the solid-state battery developer's shares continue to struggle.

Holme disposed of 12,723 shares from the Holme 2020 Irrevocable Trust on Aug. 21, 2026, according to a Form 4 filed with the SEC. The sale was priced at a weighted average of $6.01 per share, for a transaction value of approximately $76,465. QuantumScape's stock closed that session at $5.98.

The sale clears the trust's Class A position, but it does not remove Holme from the company's ownership picture. The trust continues to hold about 1.2 million Class B shares, which can be converted to Class A stock for future transactions. Holme also reported roughly 1.7 million Class A shares held directly as of Aug. 19 in a separate filing, leaving him with a substantial combined stake.

That distinction matters because insider selling at a pre-revenue company can invite close attention. As a co-founder and CTO, Holme's remaining holdings suggest he still has a meaningful financial interest in QuantumScape's long-term progress, even though the trust has exited its Class A position.

QuantumScape, founded in 2010 and headquartered in San Jose, California, is developing solid-state lithium-metal batteries for electric vehicles. The company currently has no revenue and employs roughly 700 people focused on a battery platform designed to improve on conventional lithium-ion technology in energy density, charging speed and thermal stability.

The timing of the trust sale underscores the pressure on the stock. QuantumScape shares are down 24% over the trailing 12 months, and the company's second-quarter results showed no revenue and an operating loss of more than $100 million. The company ended the quarter with over $800 million in cash, cash equivalents and marketable securities, giving it runway to fund operations while it pushes toward commercialization.

There are early signs that revenue might eventually arrive. In June, QuantumScape announced a multi-year partnership with Honda, one of the clearest signals yet that automaker interest in its solid-state technology is moving from discussions to formal development work.

For now, the trust's sale is a small transaction in dollar terms and does not dramatically shift Holme's overall exposure. But it gives investors another data point to consider as QuantumScape works to turn its technology into a viable business.
