Relay Therapeutics Insider Sale Tops $3 Million as Stock Surges 500% in Past Year

Relay Therapeutics (NASDAQ:RLAY) Chief Financial Officer Thomas Catinazzo exercised stock options and sold 187,163 shares of common stock on June 22, 2026, according to a filing with the Securities and Exchange Commission. The transaction, valued at more than $3 million, was conducted under a Rule 10b5-1 trading plan adopted in October 2025.
Following the sale, Catinazzo still holds more than 223,000 stock options, keeping him meaningfully exposed to the company's future performance. Option exercises and subsequent sales are routine among biotech executives, often tied to tax planning or diversification rather than a bearish view on the stock.
The bigger story for Relay remains its clinical pipeline and the staggering run-up in its share price — up roughly 500% over the past 12 months. In May, the company reported promising early Phase 2 data for zovegalisib in patients with PIK3CA-driven vascular anomalies. The readout showed a 60% volumetric response rate at 12 weeks, with 89% of investigators and 79% of patients reporting clinical improvement. Management said the results reinforce its belief that zovegalisib could “meaningfully change the treatment paradigm” for these patients, and expansion cohorts are already under way.
Relay also strengthened its balance sheet last month by pricing a public offering expected to raise about $275 million before expenses, providing additional capital to fund late-stage clinical development and pipeline expansion. For long-term investors, the focus should remain on clinical execution rather than insider activity. Relay's ultimate value will hinge on whether its precision medicine platform can convert promising trial data into regulatory approvals and commercial success.
